Terms of Service

Please read these Terms of Service ("Terms") carefully before using MemoRx.

1. Agreement to Terms

By creating an account, downloading the app, or otherwise using memorx.online or the MemoRx app (together, the "Service"), you agree to these Terms. If you don't agree, please don't use the Service. The Service is provided by MemoRx, Inc. ("MemoRx," "we," "us").

2. What MemoRx Is — and Isn't

MemoRx helps you organize and keep track of medications, refills, and related health information for yourself, your family, and your pets.

MemoRx is not a pharmacy, a healthcare provider, or a medical device, and it does not practice medicine. Nothing in the Service is medical advice. Always follow the guidance of your doctor or pharmacist, and never start, stop, or change a medication based solely on information in MemoRx. Drug interaction and safety checks are provided for informational convenience only, may not catch every risk, and are not a substitute for professional review.

3. Who Can Use MemoRx

You must be at least 18 years old and able to enter a binding contract to create a MemoRx account. The Service is designed for adults managing their own health information and that of other adults and pets in their care. MemoRx is not intended for use by or for children, and profiles should not be created for minors.

You're responsible for making sure you have the right to enter another person's health information into MemoRx — for example, as their spouse, adult child, caregiver, or someone they've asked to help. Only add someone else's information with their permission, or if you're legally authorized to act for them (such as under a power of attorney or guardianship).

4. Your Account

You're responsible for keeping your login credentials confidential and for all activity that happens under your account. Contact us right away at privacy@memorx.online if you suspect unauthorized access.

5. Family Profiles and Shared Access

MemoRx lets one account holder manage multiple profiles (family members and pets) and choose who else — like a sibling, partner, or aide — can view or help manage each profile. You control these permissions and can change them anytime. MemoRx can't independently verify the relationships or permissions between people you invite, so you're responsible for only sharing access with people you trust and are authorized to share with.

6. Emergency Access Feature

MemoRx offers an optional feature that displays certain information (such as medications, allergies, and emergency contacts) so it's quickly visible in an emergency, including to first responders. You choose whether to turn this on and what it shows. MemoRx doesn't control how any third party — including a first responder — uses information displayed this way, and turning this feature on doesn't guarantee anyone will see it, act on it, or respond in a particular way. Always call 911 (or your local emergency number) in an emergency.

7. Subscriptions and Billing

MemoRx offers a free plan with limited features and a paid Family Plan (currently $9/month or $89/year). By subscribing, you authorize us to charge your chosen payment method on a recurring basis until you cancel. Subscriptions renew automatically at the then-current price unless canceled before the renewal date. You can cancel anytime in your account settings; cancellation takes effect at the end of your current billing period, and we don't provide refunds for partial periods except where required by law. We'll give you reasonable advance notice before any price increase applies to your next renewal.

8. Acceptable Use

Please don't: use the Service for anyone other than yourself or the family members and pets in your care; try to access another user's account or profiles without permission; reverse-engineer or interfere with the Service; enter false medical information intended to mislead another user or a first responder; or use the Service in any way that violates applicable law.

9. Third-Party Services

MemoRx may let you import information from other services (such as MyChart) or may be distributed through app stores. We aren't responsible for the practices, availability, or accuracy of these third-party services, which are governed by their own terms.

10. Your Content

You keep ownership of the health information you enter into MemoRx. You give us permission to store, process, and display that information as needed to operate the Service for you (for example, to send reminders or show your emergency card). 11. Our Intellectual Property

MemoRx and its logo, design, and software are owned by MemoRx, Inc. and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended personal purpose. You may not copy, modify, or resell any part of the Service.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DON'T GUARANTEE THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT REMINDERS, ALERTS, OR THE EMERGENCY ACCESS FEATURE WILL ALWAYS WORK AS EXPECTED.

13. Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY LAW, MEMORX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF HEALTH, LIFE, OR DATA, OR MISSED MEDICATION DOSES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions don't allow these limitations, so some of them may not apply to you.

14. Termination

You can stop using MemoRx and delete your account at any time. We may suspend or end your access if you violate these Terms or if we discontinue the Service, with notice where practical. If your account ends, we'll handle your data as described in our Privacy Policy.

15. Changes to These Terms

We may update these Terms as MemoRx grows. If we make material changes, we'll notify you (such as by email or an in-app notice) before they take effect. Continuing to use the Service afterward means you accept the updated Terms.

16. Governing Law

These Terms are governed by the laws of [Your State], without regard to its conflict-of-law rules.
